Terms and Conditions

1 - Introduction

These Terms and Conditions ("Terms") govern your access to and use of the NeoMana mobile application, payment network, and related services (collectively, the "Services"). The Services are provided by NeoMana Labs, Inc. ("NeoMana," "we," "our" or us"), and governs your use of

NeoMana, a financial platform, which includes mobile applications, websites, software, cloud-based solutions, and other products and services (the "Service"), offered by the Company.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

2 - Eligibility

To use NeoMana, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher

• Be a student, faculty member, staff member, or local resident in a NeoMana-supported university community

• Have a valid bank account or debit card issued by a U.S. financial institution

• Provide accurate and complete information during registration

• Not be a resident of a state where NeoMana's services are prohibited by law

• Not have previously been suspended or removed from NeoMana

• Not be using NeoMana on behalf of another person

3 - Account Registration and Security

3.1 - Registration

You must register for a NeoMana account to use the Services. During registration, you will be required to provide certain information and may be asked to verify your identity through a third-party service provider.

3.2 - Security

You are responsible for:

• Maintaining the confidentiality of your login credentials

• All activities that occur through your account

• Immediately notifying NeoMana of any unauthorized use of your account

• Using strong authentication methods when available

• Keeping your email address, phone number, and other account information current

NeoMana employs industry-standard security measures but cannot guarantee that unauthorized third parties will not defeat these measures. You are responsible for configuring your device to ensure adequate security protection.

4 - Payment Services

4.1 - Funding Your Account

You may add funds to your NeoMana account via:

• ACH transfer from your linked bank account. ACH transfers from an Eligible Bank Account typically take 1-3 business days to complete, and funds may not be available for spending until the transfer is completed.

• Other payment methods as made available by NeoMana

4.2 - Merchant Payments

You may use NeoMana to make payments to member merchants within your university community's NeoMana network. Payments are direct transfers from your NeoMana account to the merchant's account.

4.3 - Peer-to-Peer Transfers

You may send and receive funds to and from other NeoMana users.

4.4 - Transaction Limitations

NeoMana may impose limits on transaction amounts, frequency, and other parameters as deemed necessary for security, compliance, and operational purposes. These limits may be modified at any time at NeoMana's discretion.

5 - FDIC Pass-through Insurance

The Federal Deposit Insurance Corporation (FDIC) insures eligible deposits (up to $250,000) in the event the bank holding the funds fails. Funds in your NeoMana Balance are held in one or more FDIC-insured bank accounts.

6 - Weekly Sweepstakes

6.1 - Eligibility

All active NeoMana users with at least one qualifying transaction during the relevant period are automatically entered into the weekly sweepstakes.

6.2 - Prizes

Prizes consist of cash rewards of $5, $10, or $15, which are credited directly to winners' NeoMana accounts. Approximately 15% of eligible users will win a cash prize each week.

6.3 - Prize Restrictions

• Sweepstakes winnings may only be spent at member merchants and cannot be withdrawn to external bank accounts

• Cash prizes do not expire

• No purchase is necessary to enter the sweepstakes. See Official Rules for details.

6.4 - Winner Selection

Winners are selected randomly using a verifiable random selection algorithm. The sweepstakes drawing occurs weekly at a consistent time.

6.5 - Additional Rules

Complete sweepstakes rules are available within the NeoMana application. By participating in the sweepstakes, you agree to be bound by these additional rules.

7 - Post-Purchase Rewards

7.1 - Reward

NeoMana offers various post-purchase rewards, including:

• Additional sweepstakes entries

• Merchant discounts and promotions

• Brand giveaways and offers

7.2 - Reward Distribution

Rewards are chosen and distributed randomly following qualifying transactions.

7.3 Reward Redemption

Rewards must be redeemed within the timeframe specified for each reward type. NeoMana is not responsible for rewards that expire before redemption.

8 - Prohibited Activities

You agree not to:

• Use the Services for any illegal purpose

• Attempt to bypass any NeoMana security measures

• Provide false or misleading information

• Create multiple accounts

• Use the Services for commercial purposes not expressly authorized by NeoMana - Attempt to reverse-engineer the NeoMana application

• Use the Services to conduct transactions related to: illegal goods or services, adult content, gambling (except where legally permitted), debt collection, firearms, drugs, or other prohibited categories

• Transfer funds on behalf of a third party

• Use the Services in a manner that could damage or overburden NeoMana systems

9 - Intellectual Identity

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, button icons, images, audio clips, and software, are the exclusive property of NeoMana or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Services without NeoMana's express written permission.

10 - Privacy

NeoMana's collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11 - Dispute Resolution

11.1 - Reporting Errors

You must notify NeoMana of any unauthorized transactions or errors within 60 days of the transaction appearing in your transaction history. Failure to notify NeoMana within this timeframe may affect your ability to recover any funds.

11.2 - Informal Resolutions

Before initiating any formal dispute process, you agree to contact NeoMana's customer support to attempt to resolve any disputes.

11.3 - Arbitration Agreement

You and NeoMana agree to resolve any disputes through binding individual arbitration rather than in court, except as specified below. This includes disputes related to these Terms, the Services, your relationship with NeoMana, or any related advertising.

11.4 - Small Claims Exception

Either party may bring an action in small claims court in the county of your residence, provided the claim qualifies for small claims court.

11.5 - Class Action Waiver

Any proceedings to resolve disputes will be conducted only on an individual basis and not as a class, consolidated, or representative action.

12 - Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall NeoMana be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services

• Any unauthorized access to or use of our servers or any personal information stored therein

• Any interruption or cessation of transmission to or from the Services

• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Services

13 - Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
NeoMana does not warrant that the Services will function without interruption or errors, or that defects will be corrected.

14 - Indemnification

You agree to defend, indemnify, and hold harmless NeoMana and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Services.

15 - Termination

NeoMana may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16 - Changes to Terms

NeoMana reserves the right to modify these Terms at any time. We will provide notice of significant changes through the Services or via email. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

17 - Governing Law

These Terms shall be governed by the laws of the State of North Carolina, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

18 - Miscellaneous

18.1 - Entire Agreements

These Terms constitute the entire agreement between you and NeoMana regarding the Services, superseding any prior agreements.

18.2 - Waiver

NeoMana's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

18.3 - Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

18.4 - Assignments

You may not assign or transfer these Terms without NeoMana's prior written consent. NeoMana may assign these Terms without restriction.
